Introduction Welcome to EngageNinja (“Service”), a SaaS platform developed and owned by GenWeb Solutions (“Company,” “we,” “our,” or “us”). By accessing or using EngageNinja, you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use our Service. 2. Services Provided EngageNinja provides access to WhatsApp Business API-based solutions, including but not limited to: Automated messaging and notifications Customer support and chatbot features Bulk campaign management Analytics and reporting tools We do not own or control WhatsApp; our Service depends on third-party APIs and providers. 3. Eligibility You must be at least 18 years old and legally authorized to enter into contracts to use this Service. By using EngageNinja, you represent that you meet these requirements. 4. Account Registration & Security You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login details. You agree to notify us immediately of any unauthorized use of your account. 5. Use of the Service You agree to use EngageNinja only for lawful purposes and in compliance with: Applicable local laws and regulations WhatsApp’s Business Policy & Terms of Service Our Acceptable Use Policy (AUP) Prohibited uses include: Sending spam or unsolicited messages Misleading, fraudulent, or harmful content Harassment, abuse, or illegal activities We reserve the right to suspend or terminate accounts violating these rules. 6. Fees and Payments Access to EngageNinja requires a paid subscription. Pricing, billing cycles, and applicable taxes are detailed on our website or subscription plan. Payments are non-refundable except where required by law. 7. Service Availability We strive to provide uninterrupted access but do not guarantee 100% uptime. Service may be affected by: Third-party outages (WhatsApp, hosting providers, etc.) Maintenance, updates, or unforeseen technical issues We are not liable for downtime beyond our reasonable control. 8. Intellectual Property EngageNinja, its design, software, and content are the intellectual property of GenWeb Solutions. You are granted a limited, non-exclusive, non-transferable license to use the Service. You may not copy, modify, reverse-engineer, or redistribute our platform. 9. Data & Privacy By using EngageNinja, you consent to our collection and use of data as described in our Privacy Policy. You retain ownership of your customer data, but grant us the right to process it to provide the Service. We do not sell user data to third parties. 10. Limitation of Liability To the maximum extent permitted by law: EngageNinja is provided “as is” without warranties of any kind. We are not liable for damages, losses, or disruptions caused by service use, third-party failures, or unauthorized access. 11. Indemnification You agree to indemnify and hold GenWeb Solutions harmless against any claims, damages, or liabilities arising from your use of EngageNinja, violation of these Terms, or misuse of the WhatsApp Business API. 12. Termination We may suspend or terminate your access if you: Breach these Terms Fail to pay subscription fees Violate WhatsApp policies or applicable laws Upon termination, your account and associated data may be deleted as per our data retention policy. 13. Modifications We reserve the right to update these Terms at any time. Continued use after updates constitutes your acceptance of the revised Terms. 14. Governing Law These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune. 15.
