Vendor Terms

Effective Date: 20-10-2025 Product: EngageNinja (A SaaS product by GenWeb Solutions) These Vendor Terms and Conditions (“Terms”) govern the relationship between GenWeb Solutions (“Company,” “we,” “our,” or “us”) and any third-party vendors, resellers, or service partners (“Vendor,” “you,” or “your”) who engage with our product EngageNinja. By registering or working with us as a Vendor, you agree to comply with these Terms. --- 1. Engagement Vendors may provide services such as reselling subscriptions, client onboarding, or related support for EngageNinja. Vendors act as independent contractors and not as employees, agents, or representatives of GenWeb Solutions. --- 2. Vendor Obligations Vendors agree to: Accurately represent EngageNinja features and pricing as provided by GenWeb Solutions. Adhere to WhatsApp Business API and Meta policies at all times. Avoid making false, misleading, or unauthorized claims about the Service. Protect customer data and comply with data privacy laws. Not engage in spam, abuse, or prohibited messaging activities. --- 3. Company Obligations GenWeb Solutions agrees to: Provide Vendors with access to relevant information, documentation, and support. Ensure timely provisioning of services for clients acquired through Vendors. Offer agreed commission or revenue-sharing (if applicable) as per separate Vendor agreement. --- 4. Fees, Payments & Commissions Payment terms, commission rates, or revenue-sharing will be defined in a separate written agreement or vendor contract. Vendors are responsible for applicable taxes on commissions earned. GenWeb Solutions reserves the right to withhold payments in case of disputes, fraudulent activities, or policy violations. --- 5. Branding & Intellectual Property Vendors may only use GenWeb Solutions’ and EngageNinja’s name, logos, and marketing materials with prior written approval. Vendors must not modify, misrepresent, or misuse our brand or intellectual property. All rights, trademarks, and ownership remain with GenWeb Solutions. --- 6. Compliance & Restrictions Vendors must comply with: Local laws and regulations WhatsApp Business API and Meta platform policies GenWeb Solutions’ Acceptable Use Policy (AUP) Prohibited vendor activities include: Selling unauthorized or counterfeit licenses Offering discounts or packages not approved by GenWeb Solutions Engaging in unfair competition or misrepresentation --- 7. Termination Either party may terminate the Vendor relationship with written notice of 7 days. GenWeb Solutions reserves the right to terminate immediately in case of: Policy violations Fraudulent or abusive activities Misuse of brand or intellectual property Upon termination: Vendor must stop using EngageNinja’s name, branding, and materials. Outstanding commissions will be settled as per agreement, subject to compliance. --- 8. Liability Vendors are fully responsible for their actions, representations, and client dealings. GenWeb Solutions is not liable for Vendor misrepresentations or unauthorized activities. Vendors agree to indemnify GenWeb Solutions against claims, losses, or damages arising from Vendor’s actions. --- 9. Confidentiality Vendors may gain access to confidential information such as pricing, strategy, or technical documentation. Vendors agree not to disclose or misuse such information without prior written consent. --- 10. Governing Law These Terms shall be governed by the laws of India. Any disputes will be subject to the courts of Pune. --- 11.
